General Terms and Conditions of the Online Shop

of the company H. Krieghoff GmbH, Boschstraße 22, D-89079 Ulm

§ 1 Scope

All deliveries, services and offers of the company H. Krieghoff GmbH, Boschstraße 22, D-89079 Ulm (hereinafter referred to as “Krieghoff”) in the framework of the online shop shall be carried out exclusively based on these General Terms and Conditions. These are an integral part of all contracts which Krieghoff concludes with the customer regarding the goods offered in the online shop.

§ 2 Contractual partner, contract language

  1. All contracts are concluded with the company H. Krieghoff GmbH, Boschstraße 22, D-89079 Ulm, Managing Director Phil Krieghoff, entered in the Commercial Register of the Ulm Local Court under HRB 757.   2. The contract language is German.

§ 3 Offer and conclusion of contract

  1. The presentation of the products in the online shop does not constitute a legally binding offer, but a non-binding online catalogue.
  2. By clicking the “Commit to buy” button in the last step of the order process you shall submit a binding order of the goods contained in the shopping basket. Before you can conclude the order procedure, you will be shown an overview with the details of your orders. In this, you can check and correct your entries once again.
  3. The customer’s receipt of the order is confirmed by Krieghoff per fax or E-mail. A binding acceptance of the order by Krieghoff shall only occur through the sending of an order confirmation by E-mail or fax or through the delivery of the goods.
  4. The customer ensures that all information provided by him when ordering or registering in the online shop (e.g. name, address, e-mail address, bank details, etc.) are true. Any changes must be notified to us immediately.
§ 4 Prices and shipping costs

The prices stated at the time of the order shall apply. These are gross prices in euros including the currently applicable VAT in each case. Additional costs for the nature of the payment and shipping are notified on the product pages and on the order page and are available for retrieval there.

§ 5 Payment and delivery
  1. The payment shall be made by Giropay, in advance by bank transfer, by credit card payment or by means of the PayPal payment system. If you pay by bank transfer, you will be notified of the banking details in the order confirmation.
  2. The goods shall be delivered after the receipt of payment by Krieghoff subject to the following provisos.
  3. The delivery shall be made worldwide to the delivery address indicated by you. Delivery within Germany shall normally take place within 5 to 8 working days; in the case of delivery to an EU country normally within 5 to 10 working days. Different delivery times are indicated for the respective product in the online shop. The customer shall be notified of the approximate delivery date by E-mail. Should it not be possible to comply with the stated delivery date, the customer shall be notified promptly. If goods are not in stock, the expected delivery time will be stated in the online shop.
  4. We are entitled to make partial deliveries to a reasonable extent.
§ 6 Retention of ownership

  1. The goods shall remain the property of Krieghoff until the complete payment of the full purchase price.
  2. The customer is obliged to inform us immediately of any access by third parties to the reserved goods as soon as it has become known. The customer shall be liable for all costs incurred in connection with the cancellation of such accesses, in particular by filing a third-party appeal, insofar as the reimbursement of the costs cannot be obtained from the third party concerned.

§ 7 Set-off and right of retention

  1. The customer‘s right of set-off shall only exist if the counterclaims have been recognised by declaratory judgement or are undisputed or have been acknowledged in writing by Krieghoff.
  2. A right of retention may only be exercised if the claims result from the same contractual relationship.
§ 8 Liability for material defects
  1.  The liability for material defects shall be in accordance with the statutory provisions, limited by the following provisions.
  2. In the case of material defects, the customer shall initially have a claim for supplementary performance (optionally remedy of the defect or delivery of replacement goods) and – if the statutory requirements are met – the statutory rights to reduction or rescission as well as in addition to damages. The place of the supplementary performance shall be at Krieghoff’s premises.
  3. Krieghoff shall only be liable for grossly negligent or intentional breaches of duty, unless these concern any material contractual obligations or guarantees or establish damage or losses from the injury to life, limb or health or claims under the Product Liability Act [Produkthaftungsgesetz].
  4. If Krieghoff is liable for a negligent breach of a material contractual obligation, the liability for material damage shall be limited to foreseeable damage or loss typically occurring under the contract.
  5. If the liability for Krieghoff is excluded, this shall also apply to the liability of the Krieghoff’s legal representatives or vicarious agents.
§ 9 Final provisions
  1. The law of the Federal Republic of Germany shall apply to the exception of UN Sales Law, unless this conflicts with mandatory provisions of International Consumer Protection Law.
  2. Should any of these provisions be or become invalid, this shall not affect the other provisions.

The EU commission offers an internet platform regarding Online Dispute Resolutions (so called "ODR platform"). The ODR platform shall be a point of contact for the extra-judicial settlement of disputes concerning contractual obligations arising, serving from online sales contracts. We would like to point out that we are not willing and not obliged to participate in dispute resolution proceedings before a consumer arbitration service.
